Partner Program Terms (Public Offer)

These Terms govern participation in the Adlumen Partner Program (the "Program") operated by Adlumen OÜ, registry code 17533350, VAT EE103003920, registered at Kooli tn 3-2, Laagri alevik, Saue vald, 76401 Harju maakond, Estonia (the "Company", "we"). By applying to the Program or using a tracking link, you (the "Partner") accept these Terms.

1. Definitions

• Apps — consumer AI entertainment applications built and operated by the Company.
• User — an end customer referred to the Apps through the Partner's tracking link.
• Activation — a User who completes a paid action defined for the offer (e.g. starts a paid trial or makes a first payment), as recorded by our tracking system.
• CPA — a fixed reward for an Activation.
• RevShare — a percentage of payments made by a referred User.

2. Enrollment

• Participation starts with an application (form, email or Telegram). We review applications and may accept or decline them at our discretion.
• Upon acceptance you receive a personal tracking link and promotional materials.
• Your exact rates and the reward model (CPA, or CPA + RevShare) are agreed individually and confirmed in writing (email, Telegram or the partner dashboard). Public figures on our website (e.g. "CPA up to $20", "$10 + 20%") are indicative ceilings, not an offer of a specific rate.

3. Rewards

• CPA model: a fixed reward per Activation, paid once.
• CPA + RevShare model: a fixed reward per Activation plus an agreed percentage of every subsequent payment made by the referred User (subscription renewals and one-off purchases), for as long as the User remains active and attributed.
• Rewards accrue on payments actually received by the Company, net of refunds and chargebacks.
• Every payment passes verification of up to 14 days before the corresponding reward becomes available for withdrawal.

4. Payouts

• Payouts are made by bank transfer under a contract or invoice, on an agreed schedule or on request.
• A minimum payout amount and supporting documents (e.g. an invoice) may be required.
• The Partner is solely responsible for their own taxes and reporting.

5. Traffic requirements

The following are prohibited and void the related accruals:

• fraudulent, incentivized or bot traffic; self-referrals; misattribution techniques;
• misleading advertising, including false promises about the Apps' features or pricing;
• spam in any form; trademark bidding on the Company's brands unless approved in writing;
• traffic that violates applicable law, platform policies or the rights of third parties.

We may request information about traffic sources at any time. Terms for each source are agreed with a manager before launch.

6. Tracking

Attribution, statistics and accruals are determined by the Company's tracking system, which is the system of record. Partners may pass their own parameters (SubIDs) and receive server-to-server postbacks; discrepancies with third-party trackers are resolved based on our data.

7. Suspension and termination

• Either party may terminate participation at any time with notice.
• We may suspend accruals or terminate the Partner's account for breach of these Terms; accruals resulting from a breach are withheld.
• Verified accruals earned before a good-faith termination are paid out under Section 4.

8. Liability

The Program is provided "as is". To the maximum extent permitted by law, the Company's aggregate liability under these Terms is limited to the amount of rewards payable to the Partner for the last 3 months. Figures shown on our website are estimates and not a guarantee of income.

9. Changes

We may update these Terms by publishing a new version at this address. Material changes take effect 7 days after publication; continued participation constitutes acceptance.

10. Governing law and contact

These Terms are governed by the laws of the Republic of Estonia. Disputes are resolved by negotiation, failing which — in the courts of Estonia.
